Envision: Powered by RICOH CP Clicker Application Terms of Use and Clickable Paper Service Terms of Service

Before using the RICOH CP Clicker Application (referring to the application defined in Article 1, including any derivative products and/or customized products thereof; hereinafter, this “Application”) developed by The RICOH Company, Ltd. (hereinafter, “RICOH”) and the Clickable Paper Service (referring to the service defined in Article 6; hereinafter, this “Service”), please carefully read the following terms of use for the Application (hereinafter, these “Terms of Use”) and terms of service for this Service (hereinafter, these “Terms of Service”) (hereinafter collectively referred to as these “Terms and Conditions”).

Upon using the Application, the person using the Application and/or this Service (hereinafter, the “User”) thereby agrees to these Terms and Conditions in their entirety and, consequently, the User shall subsequently be considered to have entered into an End User Licensing Agreement, as embodied in these Terms and Conditions, with RICOH concerning the use of the Application and this Service.

Section 1: Terms of Use of the Application

Article 1 (Definition of the Application)

The Application refers to the “RICOH CP Clicker” Application that the User downloads free of charge from App Store and uses after installing on his or her iOS device (hereinafter, “Device”). The Application functions as follows: through the Application, the User sends an image (hereinafter, “CP Supported Image”) bearing a symbol (hereinafter, “CP Mark”) designated by RICOH to indicate that an image is supported by the “Clickable Paper” Image Recognition Link Service to a server operated either by RICOH or by an entity that RICOH has consigned the operation thereof (hereinafter, a “Service Server”). Having received said CP Supported Image from the User, the Service Server sends information about the website (hereinafter, “Linked Site”) associated with said CP Supported Image (hereinafter, “Link Information”) together with the CP Supported Image (hereinafter collectively referred to as “Contents”) to the User’s Device, which then displays said Contents.

Article 2 (Terms of Agreement)

1.These Terms and Conditions constitute a contractual agreement that is established solely by and between RICOH and the User. Apple Inc. is not a party to this End User License Agreement.
2. RICOH hereby confers upon the User a license to use the Application provided that the User has agreed to these Terms of Use.
3.Upon the User’s first use of the Application, RICOH will consider said User to have agreed to these Terms of Use in their entirety. RICOH will not permit any usage of the Application by any User who, for whatever reason, refuses to agree to these Terms of Use. Thus, a User who has not agreed to these Terms of Use does not possess a license to use the Application, and any usage of the Application by such a User shall therefore be considered unauthorized usage.
4.When using the Share Function (referring to the function that allows the User to upload Contents displayed on his or her Device to Facebook, Twitter or some other social networking site (hereinafter collectively referred to as “SNS”) through the Application), the User shall abide by the terms of service, etc. established by the operator of the applicable SNS (hereinafter, “SNS Terms of Service, Etc.”). RICOH shall not be held in any way responsible for any dispute(s), etc. that may arise as a result of any activity on the part of the User that is in violation of any SNS Terms of Service, Etc.

Article 3 (Scope of License)

1.RICOH hereby confers upon the User a non-exclusive, non-transferable license to download the Application via App Store and to use the Application free of charge according to these Terms of Use.
2.Except where expressly permitted according to other provisions of these Terms of Use, the User may not engage in any of the following actions and/or activities with regard to the Application.
(1)Reproduction, public display, modification, disassembly, decompiling or reverse engineering of the Application.
(2)Transfer, relicensing, leasing, lending for use, otherwise lending and/or distributing the Application to any third party or parties.
(3)Any form of commercial use of the Application.
(4)Uploading the Application to a network or file sharing service or otherwise creating a situation and/or environment in which multiple users are able to use the Application or any function(s) thereof through methods including (but not limited to) employing the services of a service provider or service processor that provides or is involved in hosting services and/or application services, etc.
3.These Terms of Use shall apply to any and all future updates to the Application and/or additional functions released by RICOH.

Article 4 (Disclaimer)

1.The Application is provided as is and without any form of guarantee or warranty whatsoever.
2.Even in the event that the User, having noticed some defect and/or error in the Application, has notified either RICOH or any partner company of RICOH’s that is involved in the provision and/or operation of this Service (hereinafter, “Partner Company” or “Partner Companies”) of said defect and/or error in the Application, neither RICOH nor said Partner Company will make any guarantee with regard to the repair and/or rectification of said defect and/or error.
3.RICOH makes no guarantee or warranty whatsoever with regard to the performance, functionality and/or results that the User may gain as a result of usage of the Application, nor with regard to the Application’s suitability and/or capabilities for the completion of any task(s), nor with regard to the presence and/or absence of flaws, defects and/or errors in the Application nor with regard to any other matters relating to the Application. The User shall use the Application under his or her own responsibility and at his or her own risk.

Article 5 (Intellectual Property Rights)

1.RICOH hereby confers upon the User a license to use the Application upon the User’s agreement to these Terms of Use. However, the User’s agreement to these Terms of Use shall in no way be construed as RICOH conferring upon the User any intellectual property rights or any other rights inherent and/or relating to the Application that are not expressly conferred upon the User herein. Further, although the User may install the Application on his or her own Device, RICOH shall nonetheless retain any and all intellectual property rights and any and all other rights inherent and/or relating to the Application.
2.This Application is protected by the copyright laws of Japan, the United States and various other countries.
3.The User may not remove and/or otherwise modify, through any means, any copyright mark(s), trademark(s) and/or any other marking(s), displays and/or text indicating ownership that is displayed within the Application installed on his or her Device.

Section 2: Terms of Service of This Service

Article 6 (This Service)

1.1.This Service refers to the free “Clickable Paper” Image Recognition Link Service that sends and displays Contents on a User’s Device when the User sends a CP Supported Image to a Service Server using the Application. Although this Service itself is free of charge, depending on the Linked Site to which a User is directed, the User may be required to register separately for membership, etc. and/or be required to pay certain fee(s) in order to gain authorization to access service(s) (hereinafter, “Linked Site Service”) provided by the third party or parties who operate the applicable Linked Site (hereinafter, “Linked Site Operator”).
2.2.When the User sends an image that is not a CP Supported Image to a Service Server, RICOH is unable to send or display any relevant information on the User’s Device.

Article 7 (Intellectual Property Rights)

RICOH hereby confers upon the User a license to use this Service upon the User’s agreement to these Terms of Service. However, the User’s agreement to these Terms of Service shall in no way be construed as RICOH conferring upon the User any intellectual property rights and/or any other rights inherent or relating to this Service that are not expressly conferred upon the User herein. Thus, RICOH shall retain any and all intellectual property rights and any and all other rights inherent and/or relating to this Service.

Article 8 (Suspension of This Service)

1.1.RICOH may temporarily suspend the provision of this Service, either in part or in whole, in order to perform Service Server maintenance or in the event of other urgent and/or unavoidable reasons and/or circumstances.
2.2.RICOH shall not be held in any way responsible for any damages that the User may incur as a result of the suspension of this Service as provided for in this Article.

Article 9 (Termination of This Service)

RICOH may, at its sole discretion, terminate this Service, either in part or in whole, without the consent of the User.

Article 10 (Disclaimer Related to This Service)

1.Except where otherwise provided in these Terms and Conditions, RICOH shall be exempt from any and all responsibility involved in and/or arising as a result of any or all of the following Items:
(1)Any misrecognition of and/or failure to recognize CP Supported Image(s) photographed and sent to a Service Server by the User. 。
(2)Any misrecognition occurring when multiple, similar CP Supported Images exist on a Service Server.
(3)When a User’s request is denied by a Service Server due to a high volume of Service Server access.
(4)When RICOH is unable to respond promptly to an interruption in this Service occurring due to a Service Server malfunction and/or shutdown occurring outside of RICOH’s business hours.
(5)When CP Registered Image(s) are deleted without prior notice due to the contractual status and/or other circumstances of one of our Partner Companies.
(6)When, due to any or all of the aforementioned reasons and/or circumstances, a User becomes unable to view Contents, either in part or in whole, that he or she has stored within the Application using the Collection Function (referring to the function that allows Users to store Contents within the Application).
2.RICOH has no knowledge of any image(s), video(s) and/or any other information that may be displayed on a User’s Device when said User is directed to a Linked Site through the Application and therefore makes no guarantee with regard to the legality, etc. thereof. RICOH shall not be held in any way responsible for any Contents on any Linked Site.
3.In the event that the User has registered for Linked Site Service membership, etc., RICOH is in no way involved in or responsible for the content of the service provided to the User by the Linked Site Operator and/or any dispute(s), etc. that may arise out of or in relation to said service.
4.RICOH is in no way involved in or responsible for the results of any transaction(s), etc. that the User may engage in at a Linked Site and/or any dispute(s), etc. that may arise out of or in relation to the results of said transaction(s), etc.
5.This Service is provided as is and without any form of guarantee or warranty whatsoever. RICOH makes no guarantee or warranty whatsoever with regard to the results that the User may gain as a result of usage of this Service, nor with regard to the Service’s suitability for the completion of any task(s), nor with regard to the presence and/or absence of flaws, defects and/or errors in this Service nor with regard to any other matters relating to this Service.

Article 11 (Personal Information)

1.In licensing the User to use the Application and providing this Service to the User, RICOH will not impose any requirement that the User provide any information, including Personal Information, etc., to RICOH.
2.Notwithstanding the provisions of the preceding Paragraph, depending on the Linked Site to which a User is directed, the User may be required by the Linked Site Operator to provide Personal Information to the Linked Site Operator in order to register for Linked Site Service membership, etc. In such cases, RICOH shall not be held in any way responsible for any action(s) by said Linked Site Operator for the purpose of obtaining Personal Information from the User or for any Personal Information that may be obtained as a result of said action(s).
Article 11.2 (Analytical Information and Application ID)

The User hereby agrees that RICOH may provide Analytical Information concerning the User’s access to this Service and/or the User’s Application ID to any or all of our Partner Companies. However, neither said Analytical Information concerning the User’s access to this Service nor said Application ID contains any information that could be used to identify the User.

Article 13 (Feedback)

1.RICOH may request feedback from the User with regard to the usage, operation and/or functionality, etc. of the Application and/or this Service (hereinafter, “Feedback.”)
2.Any and all rights inherent and/or relating to Feedback shall devolve to RICOH without any remuneration to the User. RICOH may freely use Feedback and/or any and all information contained therein as RICOH sees fit.
Article 14 (Changes in Terms and Conditions)

RICOH may change these Terms and Conditions, either in part or in whole, at any time and without any prior notice to the User.

Article 15 (Limitation of Liability)

RICOH shall not be held in any way responsible for any special damages, incidental damages, punitive damages, fines, data loss, consequential damages (including, but not limited to, lost income and/or profit) and/or any fees, etc. involved in the procurement of replacement parts, etc. that the User may incur as a result of the Usage of the Application and/or this Service.

Article 16 (Elimination of Antisocial Forces)

1.The User hereby affirms that none of the following applies and further pledges that none of the following shall apply at any time in the future:
(1)The User is now, or has at any point within the last 5 (five) years been, a member of a criminal organization or other antisocial force (hereinafter collectively referred to as “Antisocial Forces”) and/or currently has a relationship with such Antisocial Forces and/or member(s) thereof that would be considered objectionable by society at large.
(2)Antisocial Forces are in any way involved with the User and/or materially influence the actions of the User.
(3)The usage of the Application and/or this Service by the User would in any way encourage, promote or support the activities of Antisocial Forces or otherwise present a risk of encouraging, promoting or supporting the activities of Antisocial Forces.
2.The User may not in any way employ Antisocial Forces, provide funding, accommodation or any other benefit to Antisocial Forces, invest in or otherwise become financially involved with Antisocial Forces or have any other form of relationship with Antisocial Forces.
3.In the event that the User has violated any or all of the provisions of this Article, RICOH may, at its sole discretion, immediately suspend and/or terminate the User’s usage of the Application and/or the provision of this Service without any prior warning or due process, etc.
Article 17 (Force Majeure)

RICOH shall not be held in any way responsible toward the User with regard to any failure(s) to provide this Service and/or any delay(s) in the provision of this Service due to or arising out of natural disaster(s), armed conflict(s), civil unrest, labor dispute(s), administrative act(s) and/or any other form of force majeure event that is beyond RICOH’s ability to control.

Article 18 (General Provisions)

1.These Terms and Conditions shall be governed and interpreted solely in accordance with the Laws of Japan.
2.Both the User and RICOH hereby agree that the District Court of Tokyo shall be the Exclusive Court of First Instance for any and all legal disputes that may arise out of or in relation to These Terms and Conditions.
